These licence terms apply to the use of OAS – Outlook Assistant Suite, a software product of Innosterex. These terms set out the rights granted to users under an OAS licence and the conditions that apply to those rights.
OAS is available under different licence types. Individual users can choose between an Annual Licence and a Lifetime Licence. For organisations, Innosterex may make separate arrangements for a Business Licence.
Applicability
These licence terms apply to every licence for OAS – Outlook Assistant Suite issued by Innosterex.
By installing, activating or using OAS, the user agrees to these licence terms.
These licence terms supplement the General Terms and Conditions of Innosterex. If any provision of these licence terms conflicts with mandatory applicable law, the applicable statutory provisions shall prevail.
Additional or different arrangements may be agreed in writing for a Business Licence. For the relevant Business Licence, such specific arrangements shall take precedence over these standard licence terms to the extent that they expressly deviate from these terms.
Licence types
OAS – Outlook Assistant Suite can be used under different licence types. The applicable rights are determined by the type of licence purchased by the user or agreed with an organisation.
Annual Licence
An Annual Licence grants one user the right to use OAS for a period of one year.
While the Annual Licence is active, the user is entitled to:
- use the available OAS functionality;
- updates and bug fixes;
- security and compatibility updates;
- improvements to existing functionality;
- new functionality added to OAS;
- new major versions of OAS made available during the active licence period.
For example, if a new major version of OAS becomes available during an active Annual Licence, that new major version is included in the Annual Licence.
An Annual Licence is not renewed automatically. At the end of the licence period, the user decides whether to purchase a licence for a new period.
If the Annual Licence expires and is not renewed, the right to use OAS under that licence ends.
Lifetime Licence
A Lifetime Licence grants one user a permanent right to use the purchased major version of OAS.
For the purposes of these licence terms, a major version means a version series with the same first major version number. A Lifetime Licence for OAS 1.x therefore grants the right to use OAS 1.x and the updates and improvements that Innosterex makes available within that major version.
The purchased major version includes, among other things:
- bug fixes;
- security updates;
- compatibility adjustments;
- improvements to existing functionality;
- other updates that Innosterex makes available for that major version.
A Lifetime Licence does not automatically include the right to a future new major version of OAS. For example, a licence for OAS 1.x does not automatically include the right to use OAS 2.x.
When a new major version is released, the permanent right to use the purchased major version remains in effect. The user decides whether to continue using the existing major version or purchase a new major version or another available licence type.
The term Lifetime refers to the permanent right to use the purchased major version. It does not create an obligation for Innosterex to continue developing, maintaining or technically supporting that major version indefinitely.
Business Licence
A Business Licence is intended for the use of OAS within an organisation. The scope, duration, price and specific usage rights are agreed separately between Innosterex and the relevant organisation.
A Business Licence may permit the use of OAS by multiple employees and on multiple computers within the agreed organisation, depending on the arrangements made.
Use of an individual licence
An Annual Licence or Lifetime Licence for OAS – Outlook Assistant Suite is intended for use by one user.
The licence is linked to the user and not exclusively to one specific computer. The user may install and use OAS on computers used by that user, within the limits technically supported for the relevant licence.
Replacing a computer, reinstalling Windows or reinstalling OAS does not result in the loss of a valid licence.
If reactivation is required, the user may reactivate the licence using the available procedure.
An individual licence may not be shared with other users or used to make OAS permanently available to multiple people.
If multiple users within an organisation wish to use OAS, an individual licence may be purchased for each user or a Business Licence may be agreed with Innosterex.
Installation and activation
After any applicable free trial period has ended, use of OAS – Outlook Assistant Suite requires a valid licence and activation of the software.
During activation, OAS may connect to the Innosterex licensing service to verify that the user has a valid licence. Only data necessary to verify and manage the licence is processed for this purpose.
A valid licence may be reactivated when reasonably necessary, for example after replacing a computer, reinstalling Windows or reinstalling OAS.
Innosterex may apply technical measures to prevent misuse, unauthorised sharing or illegal use of licences. These measures must not unreasonably restrict the normal use of a lawfully obtained licence.
If an activation is incorrectly refused or blocked, the user may request assistance using the contact options on the website. Innosterex will investigate the situation and, if the licence is found to be valid, restore access as soon as reasonably possible.
It is not permitted to circumvent, manipulate or otherwise disable the activation or licensing system.
Free trial period
When Innosterex offers a free trial period for OAS, OAS may be tried without a paid licence for the stated period.
The standard trial period is currently 14 days.
The trial period is intended to give one user the opportunity to evaluate OAS before purchasing a paid licence.
After the trial period has ended, continued use requires a valid Annual Licence, Lifetime Licence or other valid OAS licence.
A trial period is not automatically converted into a paid licence and does not result in an automatic payment.
Repeatedly creating, manipulating or reactivating trial periods for the purpose of circumventing the applicable trial duration is not permitted.
Updates and new versions
Innosterex may regularly make updates for OAS – Outlook Assistant Suite available. These updates may include bug fixes, security improvements, compatibility adjustments and new or improved functionality.
Users with a valid Annual Licence are entitled, for the duration of their licence, to available updates, improvements, new functionality and new major versions of OAS.
Users with a Lifetime Licence are entitled to updates and improvements that Innosterex makes available within the major version covered by their licence.
A new major version is identified by a change to the first version number. For example, OAS 1.1 and OAS 1.5 belong to major version 1.x, while OAS 2.0 belongs to major version 2.x.
A Lifetime Licence for major version 1.x therefore does not automatically include the right to use major version 2.x.
Innosterex may offer users with a Lifetime Licence an upgrade to a new major version. Whether a fee is charged and the conditions under which such an upgrade is made available will be determined at that time.
Where necessary due to technical developments, security considerations or changes to Microsoft Windows, Outlook or other software, Innosterex may modify functionality within an existing version.
Transfer of a licence
An individual OAS licence is personal and non-transferable.
An Annual Licence or Lifetime Licence may not be sold, resold, gifted, rented, lent or otherwise transferred to another person or organisation.
Discontinuing the use of OAS by the original licence holder does not give another person the right to use that licence.
Replacing a computer or reinstalling OAS is not considered a transfer of a licence, provided OAS continues to be used by the same licence holder.
Business Licences are subject to the usage rights separately agreed with the relevant organisation. A Business Licence may not be transferred to another organisation unless Innosterex has given its prior written consent.
Prohibited use
OAS – Outlook Assistant Suite may not be used in a manner that violates these licence terms, the law or the rights of Innosterex or third parties.
In particular, it is not permitted to:
- use OAS without a valid licence or enable others to do so;
- share OAS, licence information or activation information with other persons or organisations without authorisation;
- copy, distribute, publish, sell, rent or otherwise make OAS available, in whole or in part;
- create, use or distribute illegal, modified or unauthorised versions of OAS;
- circumvent, manipulate, disable or attempt to deceive the licensing, activation or security system of OAS;
- decompile, reverse engineer or otherwise attempt to discover the source code or internal operation of OAS, except to the extent expressly permitted under mandatory applicable law;
- modify components of OAS or create derivative software from them without the prior written permission of Innosterex;
- distribute tools, instructions or other means specifically intended to circumvent the security or licence verification of OAS;
- use OAS or any part of it to develop a competing software product through unauthorised copying or reuse of protected components of OAS.
Innosterex may block or terminate a licence in the event of a serious or demonstrable breach of these provisions and, where necessary, take further legal action.
Actions that cannot legally be prohibited by contract under mandatory applicable law remain permitted within the limits of that law.
Termination and blocking of the licence
A lawfully obtained and used OAS licence will not be terminated or blocked by Innosterex without valid reason.
Innosterex may temporarily block or terminate a licence in the event of a serious or demonstrable breach of these licence terms, fraud, illegal distribution of OAS, misuse of licence or activation information, or circumvention of technical security measures.
Where reasonably possible, Innosterex will first inform the licence holder of the identified breach and provide an opportunity to remedy or explain it.
In cases of clear fraud, illegal distribution, sale of unauthorised copies or an immediate security risk, Innosterex may block a licence immediately.
If it subsequently appears that a licence was blocked incorrectly, Innosterex will restore the licence as soon as reasonably possible.
An Annual Licence ends when the agreed licence period has expired and the licence is not renewed. An Annual Licence is not renewed automatically.
A Lifetime Licence has no predetermined end date for use of the purchased major version. Innosterex may terminate such a licence only on grounds arising from these licence terms, a separate agreement or applicable law.
Termination of a licence due to a serious breach of these licence terms does not automatically entitle the user to a refund of the purchase price, to the extent permitted by law.
Consumers’ statutory rights remain unaffected.
Intellectual property
All intellectual property rights in OAS – Outlook Assistant Suite remain vested in Innosterex or, where applicable, the relevant third-party rights holders.
An OAS licence grants only the right to use the software as described in these licence terms. The licence holder acquires no ownership rights in the software, source code, documentation, design, naming or other protected components of OAS.
The granting of an Annual Licence, Lifetime Licence or Business Licence does not constitute a transfer of intellectual property rights.
Where OAS contains components or technology belonging to third parties, the rights and any applicable licence terms of the relevant rights holders continue to apply.
Availability and support
Innosterex aims to ensure that OAS – Outlook Assistant Suite operates reliably and to maintain and support it for a reasonable period.
A licence grants the right to use OAS in accordance with the terms of the relevant licence type. A licence does not, however, guarantee that OAS will remain indefinitely compatible with future versions of or changes to Microsoft Windows, Microsoft Outlook or other third-party software and technology.
Where reasonably possible, Innosterex will endeavour to adapt OAS to relevant technical and security changes. However, technical developments or decisions by third parties may require certain functionality to be modified or may ultimately mean that it can no longer be supported.
A Lifetime Licence grants a permanent right to use the relevant major version of OAS, but does not include a right to unlimited or lifetime technical support, development or compatibility updates.
If Innosterex ends active support for a major version, this does not automatically invalidate a valid Lifetime Licence for that version. The user may continue to use that version for as long as it remains technically functional and its use remains possible.
Support is provided through the contact options listed on the website. Innosterex cannot guarantee a fixed response or resolution time unless separate arrangements have been agreed in writing.
For consumers, statutory rights relating to the conformity of digital content and software remain unaffected.
Final provisions
These licence terms and the use of OAS – Outlook Assistant Suite are governed by Dutch law.
These licence terms supplement the General Terms and Conditions of Innosterex. Matters not specifically addressed in these licence terms are governed by the General Terms and Conditions.
If any provision of these licence terms is found to be invalid or unenforceable, the remaining provisions will remain in force. Where necessary, Innosterex will replace the relevant provision with a valid provision that reflects the original purpose as closely as possible.
For consumers, rights arising from mandatory applicable consumer law remain unaffected.
