OAS Terms and Conditions

Introduction

The OAS terms and conditions apply to the offer, sale and use of OAS – Outlook Assistant Suite, a software product by Innosterex. OAS is offered to both private and business users.

These terms and conditions set out, among other things, how agreements are concluded, how delivery and payment take place, and which rights and obligations apply to Innosterex and users of OAS.

Applicability

These terms and conditions apply to every offer made by Innosterex relating to OAS – Outlook Assistant Suite and to every agreement resulting from such an offer.

These terms and conditions apply to both consumers and business customers. Where consumers are entitled to additional or differing rights under applicable law, those statutory rights take precedence over provisions in these terms and conditions.

By purchasing OAS or entering into an agreement with Innosterex, the customer accepts these terms and conditions.

Any deviations from these terms and conditions are valid only when agreed in writing with Innosterex.

Offers and conclusion of the agreement

Innosterex describes as clearly as possible on the website which features OAS provides, which version is offered, which licence type is selected, and which price and licence terms apply.

An agreement is concluded when the customer accepts the OAS offer and successfully completes the ordering process.

All consumer prices stated on the website include VAT unless expressly stated otherwise. The price excluding VAT may also be displayed for information purposes.

Innosterex may refuse an order or request additional information where there are reasonable grounds to suspect fraud, misuse or incorrect information.

Obvious errors or mistakes in prices, product information or other information on the website are not binding on Innosterex, insofar as permitted by law.

Prices and payment

The price of OAS is clearly stated before the customer completes the order. For consumers, the total price including applicable VAT is displayed.

The customer pays for OAS using one of the payment methods offered during the ordering process.

Payment is made through a secure payment environment provided by an external payment service provider. Innosterex does not receive full payment details, such as bank or credit card details, but only the information required to process the payment and order.

Following successful payment, the customer receives confirmation of the order. The OAS licence is then made available in accordance with the delivery method described at that time.

If a payment is refused, cancelled or not successfully completed, Innosterex may suspend delivery or activation of the licence until payment has been successfully completed.

Any refunds will be made using the available payment method and in accordance with the customer’s applicable statutory rights.

Licence types

OAS is offered with different licence types. The selected licence type determines, among other things, the duration of the right to use OAS and entitlement to future versions of OAS.

OAS Annual Licence

With an Annual Licence, the customer obtains the right to use OAS for the duration of the licence.

While the Annual Licence remains active, it includes:

  • use of the available OAS functionality;
  • updates, bug fixes and improvements;
  • new functionality added to OAS during the licence period;
  • new major versions of OAS made available during the licence period.

An Annual Licence is not automatically renewed. The customer decides whether to renew the licence for a new period after it expires.

When the Annual Licence expires, the right of use associated with that Annual Licence ends unless the customer renews the licence or purchases another available licence type.

OAS Lifetime

With a Lifetime licence, the customer obtains an unlimited right to use the major version of OAS offered at the time of purchase.

Within that major version, the customer receives updates, bug fixes, security updates and improvements that Innosterex makes available for that version.

A Lifetime licence does not automatically entitle the customer to a future new major version of OAS.

If Innosterex releases a new major version at a later date, the purchased version remains usable under the Lifetime licence. The customer can decide whether to purchase the new major version separately or switch to another available licence type.

Delivery and activation of OAS

OAS – Outlook Assistant Suite is delivered digitally. Once the order has been completed and payment has been successful, the customer receives access to the software and the associated licence.

Use of OAS requires activation of the software. During activation, OAS verifies whether a valid licence is available for the user.

The customer is responsible for providing accurate information required for delivery and activation of the licence.

An OAS licence grants the customer only a right to use the software. Purchasing a licence does not transfer copyright, source code or other intellectual property rights in OAS.

The scope and duration of the right of use are determined by the selected licence type and the applicable OAS licence terms.

If delivery or activation is temporarily unavailable due to a technical issue, Innosterex will endeavour to restore it as soon as possible.

Free trial period

OAS can be tried free of charge for 14 days where this trial option is offered at the time of installation or registration.

The trial period is intended to allow the user to evaluate OAS before purchasing a licence.

After the trial period has ended, a valid licence is required for continued use of OAS.

Offering a trial period does not oblige the user to make a purchase and does not automatically result in a paid licence or subscription.

Right of withdrawal for consumers

When a consumer purchases OAS remotely, the statutory rules concerning the right of withdrawal for digital content and digital services apply.

If the consumer chooses to have OAS delivered, activated or made available immediately within any applicable withdrawal period, specific statutory conditions may apply to the right of withdrawal.

Where required by law, Innosterex will request the necessary consent and declarations from the consumer before delivery.

If the statutory conditions for the loss of a right of withdrawal have not been met, the consumer’s statutory rights remain applicable.

The statutory right of withdrawal for consumers does not apply to business customers unless Innosterex has expressly determined otherwise.

Updates, maintenance and support

Innosterex may make updates to OAS available to improve the operation, security, compatibility or functionality of the software.

Updates may include bug fixes, technical improvements, security updates and changes required as a result of changes to Microsoft Outlook, Windows or other components on which OAS depends.

Entitlement to updates and new major versions depends on the selected licence type.

With an active Annual Licence, the customer is entitled during the licence period to available updates, improvements and new major versions of OAS as described above.

With a Lifetime licence, the customer is entitled to updates and improvements within the purchased major version. A future new major version is not automatically included in the existing Lifetime licence.

Innosterex aims to keep OAS functioning properly and up to date. This does not mean that every feature will remain available indefinitely or unchanged where technical developments or changes to third-party software require modifications.

Support for OAS is provided through the contact options available on the website. Innosterex aims to deal with questions and technical issues within a reasonable period but does not guarantee a fixed response time unless separately agreed.

For consumers, statutory rights relating to the conformity of digital content and digital services remain fully applicable.

System requirements and compatibility

OAS – Outlook Assistant Suite is designed for use with Microsoft Outlook on Windows. For correct operation, the system must meet the system requirements stated on the website or with the software.

OAS depends on Microsoft Windows, Microsoft Outlook and various Microsoft components. Not every version or edition of Outlook supports the technology used by OAS.

The customer is responsible for checking that the system being used meets the stated system requirements before OAS is purchased and installed.

Innosterex cannot guarantee that OAS will continue to function with every future version or change to Windows, Outlook or other third-party software. Where reasonably possible, Innosterex will endeavour to adapt OAS to relevant changes.

If a change to third-party software affects the operation of OAS, Innosterex will endeavour to provide appropriate information about it.

Use of OAS and user responsibilities

The user is responsible for carefully configuring and using OAS – Outlook Assistant Suite.

Depending on the selected settings and features, OAS can automatically perform actions within Outlook, including processing, moving and archiving email and following up email messages.

The user remains responsible for the configured rules, selected locations and other choices that determine how OAS handles Outlook data. It is therefore important to check settings and rules before enabling automatic processing.

The user is responsible for ensuring that appropriate backups of important data are available.

OAS must not be used in a manner that violates the law, the rights of third parties or the applicable licence terms.

Innosterex is responsible for providing OAS in accordance with what the user may reasonably expect from the software and the agreed licence.

Intellectual property

All intellectual property rights in OAS – Outlook Assistant Suite, including the software, source code, design, documentation, naming and associated materials, belong to Innosterex or any applicable third-party rights holders.

By purchasing OAS, the customer obtains only a right of use in accordance with the selected licence and the applicable licence terms. Intellectual property rights in OAS are not transferred to the customer.

OAS or any part of it may not be copied, distributed, sold, rented, sublicensed or otherwise made available to third parties without the prior written permission of Innosterex, except where expressly permitted by the licence terms or mandatory law.

It is also prohibited to modify, decompile, reverse-engineer the software or attempt to obtain the source code, except where such an action is expressly permitted under mandatory applicable law.

The name OAS – Outlook Assistant Suite, the name Innosterex, logos and other recognisable branding may not be used without permission in a manner that could create the impression of a commercial relationship, endorsement or collaboration with Innosterex.

Liability

Innosterex develops and maintains OAS – Outlook Assistant Suite with care and aims to provide reliable operation of the software. However, completely error-free or uninterrupted operation of software cannot be guaranteed.

Innosterex is not liable for damage resulting from incorrect or improper use of OAS, incorrect configuration by the user, processing rules configured by the user or failure to follow provided instructions.

Innosterex is also not liable for failures, limitations or damage resulting from changes, errors or outages in third-party software, systems or services over which Innosterex has no control, including Microsoft Windows, Microsoft Outlook, email providers and other external services.

The user remains responsible for carefully managing important data and creating and checking appropriate backups. Innosterex is not liable for data loss that could have been prevented or recovered using a reasonably available and adequate backup, insofar as such a limitation is permitted by law.

For business customers, Innosterex’s liability for direct damage is, insofar as permitted by law, limited to the amount paid by the business customer for the relevant OAS licence. Innosterex is not liable to business customers for indirect damage, including consequential loss, loss of profit, lost savings, business interruption or loss of data, except where the damage results from intentional conduct or deliberate recklessness by Innosterex.

For consumers, the statutory rules concerning liability and conformity apply. Nothing in these terms and conditions limits or excludes consumers’ rights or claims where such limitation or exclusion is not permitted under mandatory law.

Limitations of liability in these terms and conditions do not apply where and to the extent that liability cannot be excluded or limited under applicable law.

Force majeure

Innosterex is not liable for delays or inability to fulfil its obligations where this results from circumstances beyond Innosterex’s reasonable control.

Such circumstances may include prolonged outages of internet or hosting services, failure of essential third-party services, cyberattacks, government measures, power outages, natural disasters and other unforeseen circumstances that temporarily or permanently make performance of the agreement impossible.

If a force majeure situation continues for an extended period and performance of the agreement can no longer reasonably be required, both the customer and Innosterex may terminate the agreement in respect of the part that has not yet been performed. Amounts already paid for services that are consequently not provided will, where applicable, be refunded.

Consumers’ statutory rights remain fully applicable.

Termination, blocking and misuse of licences

A lawfully obtained OAS licence will not be blocked or withdrawn by Innosterex without valid reason.

Innosterex may temporarily block or terminate a licence where there are reasonable indications of fraud, misuse or a serious breach of the applicable licence terms.

It is prohibited, among other things, to:

  • use or make OAS available without a valid licence;
  • share licence keys, activation details or other licence information with others without authorisation;
  • circumvent, manipulate or disable OAS security or activation mechanisms;
  • create, distribute, publish or offer illegal, modified or unauthorised copies of OAS for download;
  • sell, resell, rent or otherwise make OAS or unauthorised copies commercially available without permission from Innosterex;
  • distribute tools or information specifically intended to circumvent OAS licence protection.

Where reasonably possible, Innosterex will inform the customer in advance of a block and provide an opportunity to clarify a possible mistake or irregularity. In cases of clear fraud, illegal distribution or a security risk, a licence may be blocked immediately.

Blocking or termination due to misuse does not affect Innosterex’s right to take further action against unauthorised distribution, sale or other use of OAS that infringes Innosterex’s rights.

If a licence has been blocked incorrectly, Innosterex will restore it as soon as possible after this has been established.

Consumers’ statutory rights remain fully applicable.

Complaints and disputes

Do you have a complaint about OAS – Outlook Assistant Suite, an order, a licence or the services provided by Innosterex? Please contact us first via the contact page on the website.

Innosterex will carefully investigate the complaint and endeavour to reach an appropriate solution within a reasonable period.

If a complaint concerns a technical issue with OAS, Innosterex may ask the customer to provide information reasonably required to investigate the issue, such as the version of OAS being used, relevant settings, error messages or technical log data.

The customer will not be asked to provide more personal data or email content than is necessary for the investigation.

If a dispute cannot be resolved by mutual agreement, the customer and Innosterex may use the options available under applicable law to submit the dispute to the competent authority or court.

For consumers, all statutory options for complaints and disputes remain fully applicable.

Applicable law and competent court

Agreements between Innosterex and the customer and these terms and conditions are governed by Dutch law.

Disputes will be submitted to the court having jurisdiction under Dutch law.

For consumers, this choice of Dutch law does not affect any mandatory consumer protection to which they are entitled under the law of their country of residence.

If the customer is a business customer, disputes will, insofar as legally permitted, be submitted to the competent Dutch court.

Changes to the terms and conditions

Innosterex may amend these terms and conditions where there is reason to do so, for example due to changes in the services provided, OAS functionality, licence models or applicable laws and regulations.

The most recent version of the terms and conditions is always available on the website.

If a change has significant consequences for existing customers or their rights of use, Innosterex will communicate the change in an appropriate manner.

Changes will not have retroactive effect where this would adversely affect rights already obtained by a customer under an existing agreement, unless required by law.

Consumers’ statutory rights remain fully applicable.
